These Terms of Use ("Terms") govern your access to and use of the website located at cognicircuit.life (the "Site") operated by Cogni Circuit Labs Inc. ("Cogni Circuit," "we," "us" or "our"), a British Columbia corporation with Business Number 81263 4917 RC0001 and registered office at 151 West Hastings Street, Suite 600, Vancouver, BC V6B 1H4, Canada.

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site. These Terms apply to visitors and casual users. Separate written agreements govern paid professional services, statements of work, retainers and client engagements.

1. About the Site

The Site provides general information about Cogni Circuit's AI engineering services, selected work, company background and contact channels. Content is offered for informational purposes in Canadian English. We may update, suspend or discontinue any part of the Site at any time without notice.

Nothing on the Site constitutes a binding offer to provide services. A client relationship begins only when both parties execute an agreed statement of work, master services agreement or equivalent contract.

2. Eligibility and acceptable use

You must be at least the age of majority in your province or territory of residence to submit enquiries through the Site. You agree to use the Site only for lawful purposes and in accordance with these Terms. You must not:

• Attempt to gain unauthorized access to the Site, servers or connected systems;
• Introduce malware, automated scraping at rates that impair performance, or denial-of-service activity;
• Submit false, misleading or fraudulent contact form information;
• Use the Site to harvest personal information of others without consent;
• Reverse engineer or copy Site assets except as permitted by applicable law or our prior written consent;
• Misrepresent affiliation with Cogni Circuit or impersonate our personnel.

We may suspend or block access where we reasonably believe misuse has occurred.

3. Intellectual property

Unless otherwise indicated, the Site and its content — including text, layout, graphics, logos, icons, images, code and design elements — are owned by Cogni Circuit or licensed to us and protected by copyright, trademark and other intellectual property laws in Canada and internationally.

You may view, download and print pages for personal, non-commercial reference provided you do not modify materials and you retain proprietary notices. You may not reproduce, republish, frame, mirror or commercially exploit Site content without our prior written permission.

"Cogni Circuit" and associated branding are trademarks of Cogni Circuit Labs Inc. Third-party names and marks appearing on the Site belong to their respective owners.

4. Case studies and illustrative metrics

Portfolio descriptions and metrics on the Site reflect past engagements in generalized or anonymized form. They are illustrative only. We do not guarantee that similar results will be achieved in your context. Outcomes depend on data quality, scope, integrations, budget, operator adoption and factors outside our control.

AI systems described on the Site may produce incorrect, incomplete or biased output and require human oversight. The Site content is not a warranty of system performance, accuracy, uptime or fitness for a particular purpose.

5. No professional advice

Site content is general information about applied-AI engineering services. It is not legal, financial, tax, medical or investment advice. You should consult qualified professionals before making decisions based on information read on the Site. Cogni Circuit is an applied-AI automation studio — not a wellness product, training course, income opportunity or substitute for regulated professional advice.

The Site may link to external websites or resources for convenience. We do not control and are not responsible for third-party content, privacy practices or availability. Links do not imply endorsement. Your use of third-party sites is at your own risk and subject to their terms.

We do not warrant that the Site will be uninterrupted, error-free, secure or free of harmful components, or that content is complete or current. Some jurisdictions do not allow exclusion of implied warranties; in those jurisdictions, exclusions apply to the fullest extent permitted.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COGNI CIRCUIT LABS INC. AND ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED CANADIAN DOLLARS (CAD $100), EXCEPT WHERE LIABILITY CANNOT BE LIMITED BY LAW.

Nothing in these Terms limits liability for fraud, gross negligence or wilful misconduct where limitation is prohibited by law.

11. Indemnity

You agree to indemnify and hold harmless Cogni Circuit and its personnel from claims, damages, losses and expenses (including reasonable legal fees) arising from your breach of these Terms, misuse of the Site or violation of any law or third-party rights, except to the extent caused by our own negligence or misconduct.

12. Governing law and disputes

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-law rules. You attorn to the exclusive jurisdiction of the courts located in Vancouver, British Columbia for disputes arising from these Terms or Site use, subject to mandatory consumer protection rules that may apply in your province of residence.

Before commencing formal proceedings, parties agree to attempt good-faith resolution by written notice to [email protected] describing the dispute and desired remedy.

13. Changes

We may revise these Terms by posting an updated version with a new effective date. Material changes will be indicated by updating the date above. Continued use after posting constitutes acceptance where permitted by law. If you disagree with revised Terms, stop using the Site.

14. Severability and entire agreement

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in effect. These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Cogni Circuit regarding Site use and supersede prior oral or written understandings on that subject.
